Terms of Service

Baam Platform is a product of Harmonia Strategy Inc. ("Harmonia Strategy"). These Terms govern your access to and use of BAAM Review websites, applications, and services.

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

If you enter these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

1. Services & Scope

BaaM provides digital products and services to help businesses build and manage online presence, including website and landing page development, content production, analytics, and integrations. Certain features may be provided through third-party platforms or APIs.

Unless otherwise agreed in writing, these Terms govern your use of:

  • Our public websites and portals.
  • Hosted applications, dashboards, and APIs we provide.
  • Related professional services (onboarding, configuration, design, or consulting).

2. Eligibility & Account Registration

  • You must be at least the age of majority in your jurisdiction and have legal capacity to enter these Terms.
  • You are responsible for accurate registration information and keeping it up to date.
  • You are responsible for safeguarding account credentials and all activity under your account.

3. Your Responsibilities

You agree to:

  • Use the Services only for lawful purposes and in accordance with all applicable laws.
  • Provide only accurate and lawful content and obtain rights for materials you upload or connect.
  • Comply with all third-party terms when using integrated services (e.g., Google, payment processors, analytics tools).
  • Comply with SMS and email rules (including TCPA, 10DLC, CAN-SPAM, and carrier requirements) where applicable.

Prohibited Uses

  • Reverse engineering, decompiling, disassembling, or attempting to derive source code.
  • Uploading or transmitting malware or illegal, infringing, abusive, or harmful content.
  • Posting reviews for customers (we don’t do this and you can’t use the platform to make it look as if customers posted reviews they didn’t actually post).
  • Interfering with service integrity, bypassing controls, or abusing rate limits or APIs.
  • Using Services for unsolicited marketing/spam, illegal surveillance, or other activities that violate privacy/IP rights.

4. Third-Party Services & Google APIs

Services may integrate with third-party products/services. Your use of those services may be subject to separate third-party terms and policies.

When you connect Google services via OAuth, we request only scopes needed for enabled features and comply with the Google API Services User Data Policy, including Limited Use requirements.

YouTube API Services

If you enable YouTube features, you also agree to the YouTube Terms of Service and YouTube Developer Policies. You can revoke access at myaccount.google.com/permissions.

5. Fees & Payment (If Applicable)

  • Fees (subscription, one-time, or usage-based) are defined in your order form or plan.
  • Unless stated otherwise, fees are due in advance and are non-refundable.
  • You authorize us and payment processors to charge your payment method for applicable fees and taxes.

6. Intellectual Property

  • Our IP: Services, software, UI, branding, and related materials are owned by or licensed to BaaM.
  • Your Content: you retain ownership of uploaded content; you grant us a license to use it as needed to provide and improve Services.
  • Feedback: if you submit ideas or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them.

7. Privacy & Data Protection

Our personal data practices are described in our Privacy Policy. If you need a separate DPA, contact support@baamplatform.com.

SMS Program Terms (US)

BAAM Review may send SMS messages on behalf of participating businesses for review requests and service follow-ups. By providing your mobile number and checking an unchecked consent checkbox, you provide express consent to receive these SMS messages.

  • Program name: BAAM Review SMS Program
  • Program description: post-visit review requests and related follow-up messages
  • Message frequency: varies (typically 1-2 messages per visit)
  • Message and data rates: may apply
  • Consent: not a condition of purchase
  • Opt-out: reply STOP, UNSUBSCRIBE, CANCEL, END, or QUIT to opt out
  • Help: reply HELP for help or contact support@baamplatform.com
  • Carrier notice: carriers are not liable for delayed or undelivered messages

8. Confidentiality

Each party may receive confidential information from the other and will protect it using at least reasonable care and use it only for purposes under these Terms.

9. Beta Features (If Offered)

Beta or preview features may change or be discontinued at any time and are provided as-is without warranties.

10. Suspension & Termination

We may suspend or terminate access for material breaches, non-payment, or security/legal risks. You may terminate as provided by your order form or account settings.

11. Disclaimers

To the maximum extent permitted by law, Services are provided "as is" and "as available" without warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, BaaM is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, data, goodwill, or business interruption.

Our aggregate liability is capped at fees paid in the prior 12 months.

13. Indemnification

You agree to defend, indemnify, and hold harmless BaaM and affiliates from claims related to your use of Services, your content, your violation of these Terms or law, or third-party rights violations.

14. Compliance & Export

You agree to comply with applicable export control, sanctions, and trade laws.

15. Modifications to the Terms

We may update these Terms periodically. Material changes will be communicated by notice in the Service, by email, or by posting with an updated effective date.

16. Governing Law & Dispute Resolution

These Terms are governed by New York law. Disputes are resolved in state or federal courts in New York County, New York, except we may seek equitable relief in any competent jurisdiction.

17. Miscellaneous

  • Entire Agreement: these Terms, applicable order forms, and Privacy Policy constitute the full agreement.
  • No Waiver: failure to enforce any provision is not a waiver.
  • Severability: if any provision is invalid, remaining provisions stay in force.
  • Assignment: you may not assign without our consent; we may assign for mergers/acquisitions/asset sales.
  • Force Majeure: we are not liable for delays/failures due to events beyond reasonable control.
